Talent Terms

You must be at least 18 years old to use the Platform. By registering, you represent and warrant that you meet this age requirement.

To access the full functionality of the Platform, you must complete the registration and onboarding process, which may include interacting with our AI-powered systems to help us understand your experience, preferences, skills, and career goals. Failure to complete onboarding may result in your account remaining in a limited or pending status.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or misleading.

During your interactions with the Platform or our AI systems, you may voluntarily share information that could be considered sensitive personal data under applicable laws. By using the Platform and providing such information, you explicitly consent to our processing of any sensitive personal information you choose to share in accordance with our Privacy Policy.

The Platform utilizes artificial intelligence, machine learning, and automated systems to analyze your profile, match you with opportunities, facilitate conversations, and provide recommendations. This may include voice-based interactions, chatbots, automated assessments, and other AI-driven features.

Our services may include voice calls, video interactions, or text-based conversations that are recorded and transcribed to better understand your professional background, preferences, and to improve our matching quality. By using the Platform, you consent to such recording and processing.

Interactions with any AI systems on the Platform (including voice calls, video interactions, or text-based conversations) do not create legal or contractual obligations of any kind between you and Huptal. All formal employment or engagement agreements must be made in writing directly with the prospective employer or client. Any legal or financial arrangements with Huptal must be made in a written agreement signed by an authorized representative of Humai FZCO.

By creating an account and completing onboarding, you acknowledge and agree that we may automatically share your profile, professional details, contact information, and other relevant data with potential employers and clients we reasonably believe align with your professional experience, skills, and interests.

If you prefer not to have your details automatically shared with potential employers, you may adjust your preferences within your account settings at any time. You can change this setting to require explicit consent before any introductions are made.

You can withdraw your consent or request to stop further sharing of your profile at any time by updating your settings or notifying us directly at [email protected]. Note that withdrawal of consent does not affect the lawfulness of processing prior to withdrawal.

You may upload files, including CVs, portfolios, certifications, and other materials ("Your Content"). By uploading, you represent and warrant that: (a) you have the right to share this content; (b) the content is accurate and not misleading; and (c) the content does not infringe any third-party rights.

You grant Huptal a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to store, process, reproduce, modify, display, and share Your Content for the purposes of providing and improving the Platform and our services, including facilitating introductions to employers and clients, and training and improving our AI systems.

We do not claim ownership of Your Content. However, we may retain copies for as long as your account is active and for a reasonable period thereafter, unless you request deletion in accordance with our Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUPTAL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO HUPTAL, IF ANY, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).

Huptal is not liable for any acts, omissions, representations, or conduct of any employers, clients, or other third parties with whom you interact through the Platform. Any disputes between you and such third parties are solely between you and the relevant third party.

Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our gross negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded by applicable law.

You may terminate your account at any time by contacting us at [email protected] or through the account settings on the Platform.

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, in our sole discretion. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, inactivity, or discontinuation of the Platform.

Upon termination: (a) your right to access and use the Platform will immediately cease; (b) we may delete your account and associated data in accordance with our Privacy Policy; (c) any provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 13 (Intellectual Property), and 17 (Governing Law).

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Dubai, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its arbitration rules. The seat of arbitration shall be Dubai, UAE. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.

If you access or use the Platform from outside the UAE, you do so at your own risk and are responsible for complying with applicable local laws. These Terms still govern your use of the Platform regardless of your location.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Huptal regarding the Platform and supersede all prior agreements, communications, and understandings.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Huptal.

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without your consent, including to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, power failures, internet or telecommunications failures, or third-party service provider failures.

These Terms are between you and Huptal. No third party has any rights to enforce any provision of these Terms.
